THIS ASSIGNMENT is executed as of today by YOU ("ASSIGNOR") to Shri Ram Chandra Mission, "Gayathri", 19 North Street, Sriram Nagar, Chennai, 600 018, India ("ASSIGNEE").

WHEREAS, ASSIGNOR created the Original Visual Work attached hereto as Exhibit A (the "Copyrighted Work"); and

WHEREAS, ASSIGNOR desires to transfer to ASSIGNEE all of ASSIGNOR's intellectual property rights (including copyrights) in the Copyrighted Work.

NOW, THEREFORE, the Assignor donates the Original Visual Work free of charge, and ASSIGNEE under the President's direction may publish and distribute the Work under the following provisions ASSIGNOR agrees as follows:

1.   Assignment.  ASSIGNOR hereby grants, assigns, transfers and delivers to ASSIGNEE, its successors and assigns:

a. all of ASSIGNOR's rights in the Copyrighted Work and any other works based upon, derived from, or incorporating, the Copyrighted Work;
b. all income, royalties, damages and payments now or hereafter due or payable relating to the Copyrighted Work;
c. all causes of action for infringement of the Copyrighted Work, together with the right to sue for and collect the same; and
d. all present and future rights corresponding to the foregoing, in whatever medium, whether now known or subsequently developed, including without limitation, all moral rights, if any, throughout the entire world.

2.  Worldwide Rights.  ASSIGNOR acknowledges that ASSIGNEE has the full right to secure copyrights and registrations for the Copyrighted Work throughout the world and to have and hold such copyrights and registrations for the full term.

3.  Representations and Warranties.  ASSIGNOR represents and warrants that:

a. at the time of this Assignment, ASSIGNOR is the sole author and sole owner of the Copyrighted Work;
b. ASSIGNOR has not pledged, mortgaged, assigned or otherwise granted any rights in the Copyrighted Work to any party; and
c. To ASSIGNOR's knowledge, there exists no adverse claim against any portion of the Copyrighted Work. 

4.  Cooperation.    ASSIGNOR agrees to assist and cooperate with ASSIGNEE in all reasonable respects, execute all documents and take all further acts as ASSIGNEE or its successors and assigns reasonably request to confirm ASSIGNEE's ownership of all rights in the Copyrighted Work.
representatives and hold them harmless from any claim, lawsuit, proceeding, damages, liability, loss, or costs (including but not limited to  attorney's fees and related defense costs) arising from or related to SRCM's enforcement of its rights under this Assignment & Release and/or a violation of the Author's warranties above.

5.  Arbitration.  All disputes shall be arbitrated by the President of the ASSIGNOR, whose decision shall be final and legally binding to both the ASSIGNOR and the ASSIGNEE.

6.  Cooperation.  The Author agrees to cooperate, at the ASSIGNOR's expense, to sign documents or take actions necessary to perfect ASSIGNEE's ownership in the Original Visual Work under this Assignment.

7.  Entire Agreement.  This Assignment is the entire agreement between the ASSIGNOR and the ASSIGNEE; no other understandings or  agreements, written or oral, exist with respect to the Work.  NO amendment shall be considered effective unless it is in writing and signed by the ASSIGNOR and an authorized signing officer ASSIGNEE.
